"The complaint alleges that the documents for this offering contained material misstatements and missions and asserts claims against the company under Section 11 of the Securities Act of 1933, as amended," Morgan Stanley said in a quarterly report filed with the SEC. The company said that although it believes it has raised all the capital it needs through the end of the year, that, "to the extent we are not able to access the debt markets on acceptable terms in the future, we may increase our use of deposit funding and other funding sources generally available to a financial holding company, and/or may seek to raise funding and capital through equity issuance." Morgan Stanley is a global financial services provider headquartered in New York City. In September, the Federal Reserve allowed Morgan Stanley to change its status from investment bank to bank holding company.  less

The two last big independent investment banks on Wall Street will transform themselves into bank holding companies subject to far greater regulation. The move by 139-year   more...old Goldman Sachs and 73-year-old Morgan Stanley is the end of a financial era, according to the New York Times.

The firms believe their models of finance and investing have become too risky. They want the cushion of bank deposits that has kept big commercial banks like Bank of America relatively safe in the current financial chaos.
Firms like Morgan Stanley and Goldman Sachs thrived by making risky bets with their own money, often using enormous amounts of debt to increase their profits, with little outside oversight.
By becoming bank holding companies, the firms are agreeing to tighter regulations and much closer supervision by bank examiners from several government agencies rather than only the Securities and Exchange Commission.
The companies will have access to the full array of the Federal Reserve’s lending facilities, which should help them avoid the fate of Lehman Brothers, which filed for bankruptcy last week, and Bear Stearns and Merrill Lynch — both of which have agreed to be acquired by big bank holding companies.
Morgan Stanley is selling 20 percent of itself to Mitsubishi UFJ, a Japanese banking giant with $1.1 trillion US dollars in bank deposits.
Just a year ago investment banks, the titans of global finance, considered bank regulation a millstone to be avoided at all costs. Now they’re practically wearing Mao suits and singing the Internationale.  less
